AAHOA in the News
In the ongoing saga between Choice and Wyndham, the spotlight is increasingly on potential antitrust concerns surrounding a possible merger between these two lodging giants. With executives exchanging volleys, lawyers racking up billable hours, and shareholders inundated with communications, franchisees of both companies find themselves in a holding pattern.
Choice Hotels has been pursuing Wyndham since April 2023, arguing that a merger would lower operational costs for franchisees and bolster their competitiveness against online travel agencies (OTAs). However, Wyndham has repeatedly rejected each offer, citing concerns about undervaluation and regulatory uncertainties.
For AAHOA, representing about 20,000 hotel owners in the US, this potential merger raises red flags. With AAHOA members owning around two-thirds of all Choice and Wyndham branded hotels in the country, their concerns are significant. Laura Lee Blake, CEO of AAHOA, highlights that a majority of their members oppose the merger, fearing decreased competitiveness, brand dilution, and increased costs.
Both AAHOA and Wyndham assert that a merger would stifle competition, catching the attention of regulatory bodies like the Federal Trade Commission (FTC) and several state attorneys general. The FTC has made extensive requests for data from both companies, indicating a thorough investigation into potential anticompetitive effects.
As the battle unfolds, with Choice nominating board members and the FTC scrutinizing data, franchisees are left in limbo. Wyndham's CEO expresses concern over the prolonged process, which is disrupting business development and causing uncertainty among franchisees. The stakes are high, with real-dollar costs mounting for shareholders amidst the legal and regulatory wrangling.
With the fate of this potential merger hanging in the balance, the coming months promise significant developments that could reshape the landscape of the hospitality industry.

Last week’s results reflected an unfavorable customer mix that was heavily weighted to the relatively underperforming leisure customer and far less to the outperforming group/convention segment due to Presidents' Day weekend.
