Amendments To NAFA Bylaws Passed
The voting period for NAFA's bylaws amendments concluded on August 15. All amendments have been approved by vote. The resolutions were proposed by the NAFA Board of Trustees at the Board of Governors meeting in July and consist of the following:
Immediate Past President Amendment - This would make the Immediate Past President an Officer of NAFA and eliminate the need for him/her to be elected to one of the Trustee positions. Three changes need to take place in the bylaws to make this happen and they must be voted up or down as a package. Note that there is language providing that, if the Immediate Past President is unable to serve, the President (with the Board’s approval) may appoint another past president to that position. This does NOT add another position to the Board of Trustees; it merely changes the current position from "Trustee - Immediate Past President" to "Immediate Past President."
Membership Committee - Currently, NAFA staff receives and acts upon all applications for NAFA membership or affiliation; neither the Membership Committee nor Board of Trustees are involved in the application process. However, NAFA’s bylaws state that both of those groups are involved in the process and approve all applications. NAFA staff and counsel believe it is appropriate to amend the bylaws by providing language that the Membership Committee shall make a recommendation to the Board of Trustees in the event that there is confusion or a dispute over the proper membership or affiliate classification of any person.
