UPM-Kymmene Corp., Helsinki, Finland, has agreed to acquire Myllykoski Corp. of Finland and its subsidiary Rhein Papier GmbH of Germany. The approximate enterprise value of the businesses acquired is EUR 900 million.

Myllykoski and Rhein Papier consist of seven publication paper mills in Germany, Finland, and the U.S. The total annual paper production capacity is 2.8 million metric tons. In addition, Myllykoski owns 0.8% of the Finnish energy company Pohjolan Voima Oy, with an estimated value of EUR 70 million. Following the transaction, UPM Group's balance sheet assets will increase by approximately EUR 1.6 billion.

The transaction will be financed through a directed share issue of 5 million UPM shares, with current market value of approximately EUR 60 million, and long-term debt arrangements amounting to EUR 800 million.

The transaction is subject to customary closing conditions, including, among others, the approval of the regulatory authorities. Myllykoski will continue to operate independently until the transaction is closed, which is scheduled for the second quarter of 2011.

The transaction is estimated to create annual synergy benefits exceeding EUR 100 million, mainly from 2012 onwards. Synergy benefits will be reached for the most part by rationalizing production, logistics, and sourcing as well as reducing overlapping activities. The related restructuring and investment costs of the combined operations are estimated to be approximately EUR 100-150 million.

The transaction is estimated to have an immediate positive impact on UPM's cash flow starting from the second half of 2011 and on earnings per share in 2012.

After the completion of the transaction, UPM's gearing ratio is estimated to rise by 8 percentage points. At the end of September 2010, the gearing ratio was 51%. UPM will report from the transaction a one-off gain of approximately EUR 300 million.

UPM's President and CEO Jussi Pesonen noted that UPM is focused on improving the cost efficiency and profitability of its European paper operations. "With this transaction, we create the conditions needed for improving UPM's cash flow and mid-term profitability."

Pesonen draws attention to the challenging operating environment of print customers. "Electronic media is posing a growing challenge for the print media. Print media has to be able to respond not only with good content but also with excellent cost competitiveness. UPM has confidence in the potential of the graphic industry. Our target is to be a competitive player that is able to meet customers' expectations.

"Myllykoski is without doubt one of the leading publication paper suppliers. The company has broad-mindedly taken advantage of new business concepts and technologies. We recognize today's Myllykoski people as solid professionals, who have a strongly customer oriented approach. This attitude and know-how fit very well with UPM.

"Combining forces and rationalizing production is necessary for the future of the whole industry in Europe. This means both closing unprofitable production capacity and investments in order to increase cost efficiency," Pesonen said.

Domestic market pulp prices fell $5 - $10/metric ton in December and the bias remains downward, says Mark Wilde, senior analyst with Deutsche Bank. The exception is NBSK in China, he adds. Dissolving pulp customers in the rayon market are reportedly adding NBSK to their mix. Domestic NBSK prices on the West Coast are being aided by robust Chinese demand. Overall, North American NBSK prices are down $10/metric ton to $960/metric ton in December.

In China, NBSK prices are up $10 - $30/metric ton and could rise further by $10 - $20/metric ton in January, according to Wilde. Last week, Millar Western and Winstone Pulp announced a $30/metric ton price increase on BCTPM to China. West Fraser and Tembec have also announced similar price increases, Wilde notes.

Hardwood fundamentals are weaker and prices are declining in all the major regions, Wilde continues. Brazilian producers cut BEK prices by $50/metric ton in Asia and by $20/metric ton in Europe in December. In North America, BEK prices fell $10/metric ton to $890/metric ton. North American fluff pulp was down $10/metric ton to $1,030 - $1,050/metric ton. In Europe, pulp prices were down $5 - $25/metric ton depending on the grade, Wilde reports.

The board of directors of Domsjö Fabriker, Sweden, has announced further investments in its Domsjö 2012 program, which aims at increasing specialty cellulose capacity to 255 000 metric tpy. The company also said that it plans further investments in its biorefinery operations in Örnsköldsvik, Sweden. Additionally Domsjö is investigating other opportunities such as business acquisitions, according to CEO Ola Hildingsson. During 2011, some SEK 280 million will be invested in these projects.

The new investments come on the heels of investment decisions earlier this year totaling SEK 300 million. These included a new lignin dryer and a new debarking facility.

As a result of the development program, Domsjö 's cellulose capacity will increase from approximately 200 000 metric tpy to 255 000 metric tpy. Hildingsson noted tht this expansion "allows us to grow with our customers in the expanding textile market, and we wish to expand as soon as possible."

Domsjö specialty cellulose is mainly used for viscose textiles, which the companay emphasizes is currently experiencing strong growth. The growth, it adds, is due to a decline in cotton production. Hildingsson explains that one option would be to convert an existing sulfate pulp mill in Scandinavia. "However, this is complicated and expensive. Another option we are evaluating is to start producing specialty cellulose in South America. Nothing is decided yet," he concludes.

Western European demand for coated papers has matured and the post recession rebound in demand is over. According to RISI's new European Coated Papers Risk of Closure Study, overcapacity of both coated wood free and coated mechanical papers has reached 1.2 million metric tons, lowering prices and affecting producer profitability in Europe. With coated wood free capacity in China forecast to exceed domestic demand by the end of 2011 and new capacity in Russia, export prospects of Western European coated paper producers are threatened and capacity closures of 2.7 - 3.5 million metric tpy are expected by 2015.

"Coated paper mills are currently operating at a loss in Europe. To maintain profitability, prices will have to rise and capacity needs to be balanced, through closures," said Sampo Timonen, director of European Graphic Papers at RISI, and author of the study.

Timonen analyzed 90 paper machines and 20 producers for this study and created a methodology that compares company and machine risk against the industry average using a range of criteria—financials, long-term cost position, and the strategies of coated wood free and coated mechanical producers in Europe—to evaluate the machines most likely to close on a permanent basis. The study analyzes machine risk of closure by company, indicating machines likely to face proactive closure, potential divestments, and closures due to bankruptcy. November U.S. containerboard and box volumes showed signs of easing, reports Mark Wilde, senior analyst with Deutsche Bank. Shipments were up 4.6% on an "actual" basis, but were flat on an average week basis. Inventories were +1.7% m/m, but remain at low levels. Domestic linerboard prices were flat at $640. With a slowing demand trajectory, and seasonally weaker shipments, the current focus for box producers should be defense as they attempt to maintain existing price levels.

The increase in actual containerboard and box shipments was mostly due to +1 shipping day this year compared with November 2009. "On an average week basis, this is the weakest comp we've seen since January 2010. On a ‘blended' average of 2.8% (mix of actual and average week), the result compares to an YTD volume gain of 3.2%. Looking ahead, we think December is likely to show further deceleration in the numbers," Wilde explained. Combined mill and box plant inventories increased 38,000 tons m/m to 2.274 million tons.

"Looking over the past 10 years, there is no clear directional trend in inventory shifts from October to November. On average, inventories have risen 5,000 tons m/m in November, with a standard deviation of 49,000. Inventories have now increased 342,000 since May trough levels. Normally, this would be a highly disturbing trend, but even after this rapid increase, inventories remain lean by historical standards," Wilde said.

Graphic Packaging International, Marietta, Ga., USA, a subsidiary of Graphic Packaging Holding Co., has approved a plan to expand utilization of biomass energy in its Macon, Ga., paperboard mill with an estimated cost of up to $80 million. The project, which will include a high-efficiency biomass boiler and a 40 MW turbine generator, will begin immediately.

The objectives of the biomass project are to further the company's sustainability strategy, reduce energy costs, and improve profitability of the Macon mill in advance of expected increases in electricity costs. The mill currently produces approximately 1,600 tons of paperboard per day.

The company intends to complete the project and begin operations by mid-year 2013. The new biomass system is expected to make the Macon mill self-sufficient from an electrical power and steam generation standpoint, thereby stabilizing and reducing energy costs and dependency on fossil-fuel based alternatives. The mill expects to become a net producer of electricity.

Expected biomass system benefits:

  • Will provide energy from biomass – a carbon neutral, renewable energy source.
  • Will generate approximately 40 MW of power per hour from a renewable energy source – or enough electrical power to support approximately 27,400 homes per year.
  • Will reduce the Macon mill's fossil-fuel based greenhouse gas emissions by approximately 200,000 tpy through the substitution of biomass--the emissions equivalent of approximately 35,000 passenger cars.
  • Will generate power from approximately 400,000 tpy of logging residuals (tops and branches of trees). An estimated 3.3 million tpy of residuals are currently available in the Macon area.

"Graphic Packaging is committed to engaging in more sustainable manufacturing processes," said President and CEO David Scheible. "This biomass project will not only make use of untapped renewable resources, but it will also add value to the Macon, Ga., community as a whole."

The U.S. Department of Energy (DOE), Washington, D.C., USA, announced this week that it is accepting applications—for up to $30 million in total funding—for small-scale process integration projects that support the development of advanced biofuels. The biofuels could replace gasoline or diesel without requiring special upgrades or changes to the vehicle or fueling infrastructure. The funding opportunity announcement (FOA) provides up to $30 million over the next three to four years to support as many as five projects.

The projects will focus on optimizing and integrating process steps that convert biomass into biofuels and bioproducts that will eventually be used to support hydrocarbon fuels and chemicals. These process improvements could include pretreatment methods that alter the biomass to improve the yield of sugars in subsequent process steps, less costly and more efficient enzymes that produce sugars, and fermentation organisms and catalysts that convert the sugars into fuel and chemical intermediates. Successful applicants will demonstrate the research potential to improve the economics and efficiency of their proposed process.

A complete description of the FOA solicitation, eligibility requirements, and application instructions can be found on the FedConnect Web site that lists public opportunities. Applications must be submitted by no later than 11:59 p.m. EST on Feb. 7, 2011.

Energy Quest Inc. (EQI), Henderson, Nev., USA, this past week announced that it will begin preliminary work on a modular biomass (agricultural waste) to power energy plant producing 6.4 MW (6 net MW), to be located in Lee County, Ga. The plant will consist of four 1.6 MW (1.5 net MW) modular power systems.

The modular gasification bio-energy plant will consume 10 to 12 tons per hour of agricultural waste biomass that will be provided from the surrounding area. The plant will produce approximately 6 MW of electrical power which will be sold to the area utility or Co-Op.

The gasification system used to produce gas for the power plant generator engines will also produce 16,000 to 18,000 tons per year of a high quality Biochar that will be sold as a soil enhancement product. The plant will operate 24 hr a day and, when completed, will provide 20 full time jobs. EQI would be an owner and operate the facility.

Energy Quest's modular gasification design will result in lower set up costs and increased efficiencies. The gasifiers will provide clean syngas fuel for the power generators.

Estimated cost of the bio-energy project is $12 million. A rudimentary pay out time (POT) calculation based on conditions of 2010 using gross revenues of $6,500,000 with net revenues after tax of $3,200,000 annually will be less than four years. It is felt that the project is economically more attractive than this figure may initially indicate as various government grants, recyclables, and incentives (not taken in consideration in the POT calculations) are available for projects of this nature.

We see it as a platform for the industry to build stronger partner and supplier opportunities, faster, as the supply chain develops for the fast-growing bioproducts sector."

The BioPro Expo program will cover key areas surrounding biomass conversion with separate tracks focused on barriers to implementation and feedstock options. The former covers topics such as funding and regulatory challenges and the latter includes purpose grown crops, waste streams and emerging technologies. Other highlights include sessions on emerging migration technologies. They focus on co-production of cellulosic and agricultural feedstocks together or separately in fully integrated process sequences. The 5th annual International Bioenergy and Bioproducts Conference (IBBC) is also being held at BioPro Expo and attendees win by being able to participate in sessions at both events.

"The partnership between Biofuels Digest and BioPro Expo is very exciting because conference and expo attendees will benefit from having the best of both worlds at this event," said Larry N. Montague, president and CEO of TAPPI. "BioPro Expo will offer a unique mix of content covering both cellulosic biomass conversion and renewable energy. Biofuels Digest is well recognized for its news, reports and policy updates, and TAPPI is renowned for its content, information on cutting-edge research, technical expertise and practical solutions."

BioPro Expo is a large conference and exhibition in the Southeastern United States, backed by 22 industry partners. They reflect the full biomass processing spectrum for multiple industries, from supply through demand and utilization. In-depth educational sessions are backed by a trade show focused on cutting-edge technology, products and services available today.
